Hengka (Henry) Ji is partner for Zhong Lun's Beijing Office, dually qualified in the PRC and New York State, USA. Prior to re-joining Zhong Lun in 2018, Henry worked for a big four firm and leading international law firm for 5 years. Henry has been practicing private client, international tax and philanthropy services for more than 10 years. Henry has accumulated rich experiences in capital market, cross-border investment, going-private, corporate finance, restructuring and other general corporate legal matters. Benefit from working with his clients closely and diverse academic background, Henry has gained unique commercial experiences and legal insights in sectors of high-tech and artificial intelligence, semiconductor, life science, education and training, energy, metal and environmental protection. Henry also focuses on international tax and transaction tax and advises on a variety of cutting-edge tax matters, including as they relate to tax planning and compliance, tax-efficient structuring, and tax dispute resolution. He is well versed in assisting founders, investors and senior management to select the optimal cross-border transaction structure and equity incentive scheme (ESOP) from tax perspectives. Henry is also a trusted adviser in relation to wealth planning and he serves numerous PRC UHNWI, leading private banks and family offices for global asset protection scheme. Beyond that, Henry contributes substantial efforts on non-profit legal practice. He is a pioneer lawyer in philanthropy and social investment and has advised more than 50 international NGOs and charitable foundations, UN Agency, universities and philanthropist on a full range of legal issues, including advising the legal implications under INGO Law, coordinating with the government authority, handling transactions and day-to-day operation and representing them in structuring, entity selection and legal formation, fundraising and donation, due diligence, tax incentives application, governance, litigation and internal compliance investigation. He delivered speeches on international tax law and charity law regularly to young students at top Chinese universities, including Fudan University and Remin University. He is co-author of many professional articles published on leading international media and think tanks, including China Going Global Think Tank, China Law & Practice, CCH, Bloomberg, MNE Tax, Asia Tax Journal, Christian Science Monitor and Tax Management International Forum and his recent article "Tax Planning Essentials for Outbound Investment by Chinese Enterprises (By-country Report)", has been selected for use in textbook by NDRC to train the government officials and executives of large Chinese companies. Henry is a global fellow of Salzburg Global Seminar, and fellow of AVPN Impact Investment Fellowship.
